FEELIATE AFFILIATE MARKETING SERVICES AGREEMENT

This Affiliate Marketing Services Agreement (the “Agreement”) is entered into by and between the undersigned publisher or affiliate (“Affiliate”) and Feeliate operating the Feeliate Affiliate Network (“Feeliate”, “Network”, or “Company”).

By registering an account and clicking “I accept the Affiliate Agreement”, Affiliate agrees to be legally bound by this Agreement.


1. DEFINITIONS

1.1 “Agreement” means this Affiliate Marketing Services Agreement, including all policies, rules, and documents incorporated by reference.

1.2 “Feeliate” / “Network” means the affiliate network operated by Feeliate providing access to Offers and Campaigns via its platform.

1.3 “Affiliate” means any individual or legal entity approved to promote Offers in exchange for commissions.

1.4 “Offers” / “Campaigns” means products or services made available for promotion within the Feeliate platform.

1.5 “Lead”, “Sale”, or “Conversion” means a qualifying customer action as defined per Offer.

1.6 “CAP” or “Limit” means the maximum volume of Leads or Sales permitted per Offer or Affiliate.

1.7 “Pending Credit” means commissions pending validation.

1.8 “Confirmed Credit” means approved commissions eligible for payout.

1.9 “Chargeback” means any transaction reversal due to refund, dispute, fraud, COD failure, or advertiser non-payment.

1.10 “Reversal” means the cancellation or deduction of commissions, including after payout.

1.11 “Tracking Technologies” include cookies, server-to-server postbacks, APIs, or similar attribution tools.

1.12 “TrafficManager” means Traffic Manager Group S.R.L., acting solely as a technical data processor.


2. PLATFORM & ROLE OF TRAFFICMANAGER

2.1 TrafficManager provides technical tracking infrastructure only and acts exclusively as a Data Processor.

2.2 TrafficManager has no contractual relationship with Affiliate and bears no liability for payouts, suspensions, reversals, or commercial decisions.

2.3 All decisions regarding commissions, fraud, or account status are made solely by Feeliate.


3. PAYMENT TERMS

3.1 Commission rates, payout models, CAPs, and specific validation criteria are defined per Offer within the Feeliate platform.

3.2 Feeliate may modify CAPs or commission rates with prior notice. Changes are never retroactive.

3.3 Payments are issued only for valid, approved Conversions.

3.4 Post-Approval Reversals

Feeliate reserves the right to reverse Confirmed Credit or previously paid commissions in cases of:

Reversed amounts may be deducted from future payouts or invoiced to Affiliate.

3.5 Minimum Threshold

Minimum payout thresholds and payment schedules are defined in the platform dashboard.

3.6 Payment Schedule (NET 30) & Monthly Finalization

Commissions are paid on a NET 30 basis.

All Conversions generated during a calendar month are initially recorded as Pending Credit and remain subject to validation, including deduction of cancellations, refunds, Chargebacks, Reversals, fraud adjustments, advertiser rejections, and attribution validation.

Commission figures for each calendar month become final and binding on the fifteenth (15th) day of the following month (the “Finalization Date”). On this date, validated Conversions move from Pending Credit to Confirmed Credit.

Payments of Confirmed Credit are issued at the end of the month following the month in which the Conversions were generated, provided that:

If a Conversion is cancelled, refunded, reversed, or otherwise invalidated prior to the Finalization Date, the commission for that specific Conversion shall be reduced to zero. As the Network operates on a revenue share basis, no negative balances will be created solely as a result of individual cancelled Conversions.

Feeliate reserves the right to apply Post-Approval Reversals in accordance with Section 3.4 where applicable.

3.7 Commission Entitlement – Material Contribution Standard

Commission entitlement arises only where the Affiliate has materially contributed to the relevant Conversion in accordance with the Network’s attribution framework. No commission shall be deemed earned solely on the basis of technical last-click attribution where the Affiliate did not materially contribute to customer acquisition.


4. ADVERTISING & CONTENT RESTRICTIONS

4.1 Affiliate shall comply with all applicable laws and shall not publish content that is misleading, deceptive, defamatory, obscene, illegal, or infringing.

4.2 Affiliate shall not infringe intellectual property rights.

4.3 Affiliate shall not associate Feeliate or advertisers with prohibited content.


5. PROHIBITED TRAFFIC & METHODS (ZERO TOLERANCE)

Unless explicitly approved in writing, the following are strictly prohibited:

a) Bots, automated traffic, scripts, emulators, or non-human activity

b) Incentivized traffic (cashback, rewards, contests, points, “get paid to”)

c) Coupon, deal, voucher, or promo-code traffic

d) Brand bidding or trademark bidding (including misspellings)

e) Toolbar, extension, adware, spyware, malware traffic

f) Fake reviews, false claims, misleading creatives

g) Forced clicks, pop-unders, redirects without user intent

h) Traffic violating advertiser or platform policies

All resulting commissions are invalid and non-payable.


6. FRAUD & NETWORK DISCRETION

6.1 Feeliate uses fraud detection tools for advisory purposes.

6.2 Sole Discretion

Feeliate retains the final and binding authority to determine traffic validity, fraud, attribution integrity, or quality issues, exercised reasonably and in good faith in accordance with Dutch law (including Articles 6:2 and 6:248 Dutch Civil Code).

6.3 Affiliate may request a manual review, but Feeliate’s final decision remains binding.


6A. ATTRIBUTION POLICY & TRAFFIC SOURCE CLASSIFICATION

6A.1 Network Integrity and Attribution Model

Feeliate operates a structured attribution framework designed to preserve the integrity of the Network and to incentivize genuine customer acquisition. The Network may apply differentiated attribution models and validation rules in order to distinguish between traffic that actively generates new customer demand (“Active Traffic”) and traffic that primarily captures, intercepts, or retargets existing user intent (“Passive Traffic”).

6A.2 Traffic Classification

Feeliate reserves the right, at its sole discretion exercised reasonably and in good faith, to classify Affiliates, traffic sources, domains, sub-affiliates, or promotional methods into categories or groups, including but not limited to Active Traffic and Passive Traffic classifications.

Such classification may be based on traffic behavior, conversion timing, user journey analysis, click-to-conversion latency, attribution overlap, promotional method, or other commercially relevant and objectively justifiable factors.

6A.3 Attribution Priority and Commission Eligibility

Feeliate may apply attribution priority rules, multi-touch attribution logic, traffic de-duplication systems, group-based validation rules, or incremental contribution analysis to ensure that commissions are awarded to Affiliates who materially contributed to customer acquisition.

Where traffic is determined to have intercepted, overridden, displaced, or layered over prior marketing efforts without materially contributing to the underlying customer acquisition, Feeliate reserves the right to:

(a) deny, reduce, or reverse commission for such Conversions;
(b) apply differentiated commission structures;
(c) limit participation in certain Offers;
(d) impose specific CAPs or validation criteria; or
(e) reassign attribution credit in accordance with the Network’s attribution rules.

6A.4 No Guarantee of Last-Click Attribution

Affiliate acknowledges that the Network does not guarantee last-click attribution and that commission entitlement is subject to the Network’s attribution framework as applied from time to time.

6A.5 Non-Retroactivity

Changes to attribution models or traffic classification rules shall not apply retroactively to Conversions already finalized in accordance with Section 3.6, except in cases of fraud, policy violations, material breach, or technical error.


7. TRAFFIC DISCLOSURE & AUDIT RIGHTS

7.1 Affiliate must fully disclose traffic sources, domains, ad creatives, sub-affiliates, and promotional methods upon request.

7.2 Feeliate may audit Affiliate activity directly or via third parties.

7.3 Failure to cooperate constitutes a material breach.


8. TERM, SUSPENSION & TERMINATION

8.1 This Agreement begins upon account creation and continues indefinitely.

8.2 Either party may terminate at any time with written notice.

8.3 Feeliate may immediately suspend or terminate accounts for fraud, policy violations, attribution manipulation, or risk concerns.

8.4 Forfeiture

Unpaid commissions related to violations are forfeited. Feeliate may permanently blacklist Affiliate and related entities.


9. CONFIDENTIALITY

9.1 Each party shall protect confidential information.

9.2 Confidentiality obligations survive termination.


10. DATA PROTECTION & PRIVACY

10.1 Each party shall comply with GDPR, CCPA, and applicable privacy laws.

10.2 Affiliate acknowledges that data processing is necessary for contract performance.

10.3 Appropriate security measures must be maintained.


11. INDEMNIFICATION

11.1 Affiliate shall indemnify and hold harmless Feeliate from all claims arising from Affiliate’s breach, fraud, illegal activity, or violation of this Agreement.

11.2 Feeliate shall indemnify Affiliate for claims arising from Feeliate’s breach or misconduct.


12. LIMITATION OF LIABILITY

12.1 Neither party is liable for indirect or consequential damages.

12.2 Feeliate’s total liability shall not exceed commissions actually paid to Affiliate in the three (3) months preceding the claim.


13. FORCE MAJEURE

Neither party is liable for failure due to events beyond reasonable control.


14. MISCELLANEOUS

14.1 Entire Agreement

14.2 Governing Law: Netherlands

14.3 No Partnership or Employment

14.4 No Assignment without consent

14.5 Severability

14.6 No Third-Party Beneficiaries (including TrafficManager)

14.7 Survival of fraud, payment, confidentiality, data protection, indemnity, liability, and attribution clauses

14.8 No Expectation of Earnings
